MEMBERSHIP AGREEMENT
This Membership Agreement (the "Agreement") is concluded between AHMET ECMEL ÖZÇOBAN, located at ATATÜRK MAH. ERTUĞRUL GAZİ SK. METROPOL ISTANBUL C1 BLOCK NO: 2 B INNER DOOR NO: 376 ATAŞEHİR/ISTANBUL (the "Company"), and the member ("Member") for the determination of the conditions regarding the Member's use of the services offered on http://www.trueshepherdco.com/ (the "Site").
The Member acknowledges that they are over 18 years old, have read, understood, and agreed to the terms of this agreement before starting to use all services offered on the Site.
Usage and Security Rules
Unless otherwise stated, the services provided on the Site are free of charge.
The site administration reserves the right to block the Member's use of the site and reserves its legal rights against individuals involved in the following attempts:
1.a. Registering information containing false, irregular, incomplete, and misleading information, expressions contrary to general moral rules, and information conflicting with the laws of the Republic of Turkey.
1.b. Unauthorized copying of site content, in whole or in part.
1.c. Sharing content on the Site that constitutes a crime, violates the rules of the website, violates current legislation, encourages such situations, contains advertising and/or marketing content, is disturbing, contains insults and swearing, is derogatory, humiliating, coarse, pornographic or immoral, violates generally accepted rules of society, violates personal rights, violates intellectual and industrial property rights, creates unfair competition, and/or similar content.
1.d. Using software that threatens the security of the Site, prevents the operation of the site and the software used, carries out activities, attempts to perform activities, and obtains, deletes, or modifies information.
1.e. The Member is solely responsible for any damages arising from sharing (using by third parties) information such as the Member's username, password, or any other information shared with third parties (the use of this information by persons other than the Member).
Similarly, the Member cannot use personal information such as another person's IP address, email address, username on the Internet, nor can they access or use them without permission. The Member is deemed to have accepted any legal and criminal liability arising from such use.
Responsibilities
2.b. The Member, after completing the necessary sections for registration and confirming their email address, may start using the www.trueshepherdco.com site by entering their email address and password, subject to compliance with the conditions specified in this agreement.
2.c. While benefiting from the www.trueshepherdco.com site and services, the Member agrees to comply with the Turkish Penal Code, Turkish Commercial Code, Intellectual and Artistic Works Law, Decrees Regarding the Protection of Trademark and Patent Rights, legal regulations, the Code of Obligations, other relevant legislation, and any notifications and announcements published by www.trueshepherdco.com regarding its services. The Member is responsible for any legal, criminal, and financial liabilities arising from notifications and violations of laws.
2.d. If it is determined that the Member violates the obligations specified in this agreement or the general rules notified on the www.trueshepherdco.com site, the Member's use of www.trueshepherdco.com services may be suspended or terminated temporarily or permanently by www.trueshepherdco.com.
2.e. The Member cannot engage in actions that prevent or hinder other Members and visitors from using www.trueshepherdco.com, install and force servers or databases with automatic programs. The Member cannot engage in fraudulent attempts. In the event of such actions, the membership will be terminated, and the Member accepts all legal and criminal liabilities arising from the situation.
2.g. The Member cannot delete or remove Copyright, Trademark, and all kinds of Intellectual and Artistic Works Law-related notes from materials copied or printed from www.trueshepherdco.com.
2.h. The cancellation of membership and account deletion can be done by the Member via www.trueshepherdco.com.
The Member's access authorization to the site will be revoked upon termination of membership. The Member who cancels the membership agrees that this process is irreversible and that they will not make any claims for rights/compensation.
2.j. The relationships of Site Members with each other or with third parties are the responsibility of the individuals.
2.m. Different rules and obligations may be specified for certain parts of the Site. Individuals and organizations using these sections are deemed to have accepted these rules in advance.
2.o. The Member acknowledges and undertakes that the information they use for shopping on the site is accurate and that they are responsible for the legal and criminal liabilities arising from them.
Termination of the Agreement
3.a. This agreement will remain in effect until the Member cancels their membership or until their membership is canceled exclusively by the Company. The Company may unilaterally terminate the agreement by canceling the Member's membership if the Member violates any provision of the membership agreement.
3.b. If the Company becomes aware that the Member or any Member violates the terms of use, the Company will inform the Member and request correction of the violation. If the Member fails to comply with the Company's request following the violation, the Company may suspend all or part of the Member's use of the services until the violation is corrected.
3.c. The Company may, (a) suspend all or part of the Member's use of the Services immediately if it reasonably believes that the Member's use of the Services, other customers, or the use of the Company's network or servers for providing the Services may be adversely affected; (b) if there is suspicion of unauthorized third-party access to the Services; (c) if it reasonably believes that immediate suspension is necessary to comply with any applicable law. When the circumstances causing the suspension of the services are eliminated, the Company will remove such suspensions. Upon request of the Member, the Company will notify the Member of the reason for the suspension as soon as possible unless prohibited by applicable laws.
Privacy
The COMPANY attaches importance to processing / protecting the personal data provided by the Member through the Site in accordance with all kinds of legislation, including the Personal Data Protection Law No. 6698, in order for the Member to benefit from the services offered on the Site (Privacy Statement) contained in the Privacy Statement.
INTELLECTUAL PROPERTY
The COMPANY's Site design, software, domain name, and all kinds of trademarks, designs, logos, trade presentations, slogans, and all other content created by the COMPANY are under its intellectual property rights. The Member cannot use, share, distribute, display, reproduce, or create derivative works from the intellectual property rights subject to the COMPANY's or its affiliates' ownership without written permission. In the event that the Member acts in violation of the intellectual property rights of the COMPANY or third parties, the Member is liable to compensate all direct and indirect damages and expenses of the COMPANY and/or the relevant third party.
Force Majeure
If the obligations arising from the Agreement become impossible to fulfill due to reasons such as natural disasters, fire, explosions, civil wars, wars, riots, mobilization announcements, strikes, lockouts, and epidemic diseases, infrastructure and internet and cyber breakdowns, power outages (hereinafter collectively referred to as "Force Majeure"), for which the Parties are not responsible, the rights and obligations
